Sarbanes-Oxley Act: What Has it Wrought?

The Sarbanes-Oxley Act is the most significant piece of corporate securities legislation since the Securities Act of 1933 and The Securities and Exchange Act of 1934. The Act's requirements are significant and have brought about substantial change in the work and role of auditors and the operations and financial disclosures of publicly traded corporations. However, this change has not been costless.
Professor Keating will discuss the significance of the Sarbanes-Oxley Act and why it is important to cover in a business school course. Her talk will follow the teaching note that was developed for the Featured Collection (available through this link to faculty logged in on CasePlace.org). She will start by discussing the key sections of the Act and the primary costs and benefits of the changes it has required. She'll then explore some alternative forms of corporate governance. The talk concludes with recommendations and a discussion on how to use these materials in various courses.
This web-conference will complement the conference CasePlace.org hosted this past June, "Sarbanes-Oxley Act: How Did We Get Here?", which discussed the antecedents to and the key provisions of the Act.
